• CFT CANADA makes no representation or warranties with respect to the contents herein and specifically disclaims implied warranties or merchantability or fitness for any particular purpose. Further, CFT CANADA reserves the right to revise this product and associated text and make changes from time to time in the content herein without prior notification to any person or organization of such revisions or changes. As the shipper of dangerous goods, you are solely responsible for compliance with any and all applicable laws, statutes, regulations and requirements governing the shipment of dangerous goods. This includes, but is not limited to, the preparation, correctness, completeness, correct use of documentation, use of correct interior and exterior packaging, use of correct and proper labeling and insuring the completion of required training for all hazmat employees who offer or prepare dangerous goods for shipping and transporting in accordance with current regulations for dangerous goods and any applicable State and/or Operator Variation or requirement thereto.
• If you, the User, utilize this CFT CANADA Software and/or output for preparation of dangerous goods, you acknowledge and agree that you remain solely and entirely responsible for compliance with all applicable regulations, laws and requirements, as well as any changes and updates which take effect after the date of usage of this product and CFT CANADA is not responsible for any inaccuracies in the information provided by this GesShipping software program and/or output. Information and requirements provided by this software and/or output are based on the information that you have provided. You acknowledge that any change or modification in type, quantity and/or packaging of dangerous goods from the information that you originally provided may result in necessary changes to the shipper’s declaration for dangerous goods form, packaging, marking and or labels and that compliance with these requirements is your sole responsibility. CFT CANADA expressly disclaims any responsibility or liability for compliance with any applicable laws, regulations or requirements and makes no warranties, expressed or implied.
• Limited Use Software License Agreement
• CFT CANADA
• This is CFT CANADA , 701 Meloche avenue, Dorval, Quebec Canada H9P 2S4 "Limited Use Software License Agreement" (the Agreement), which will govern your use of the CFT CANADA products contained with it.
• YOU AGREE TO THE TERMS OF THIS AGREEMENT BY THE ACT OF USING THIS PRODUCT AND/OR OUTPUT. DO NOT USE THIS PRODUCT WITHOUT FIRST READING, UNDERSTANDING AND AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS, SIMPLY EXIT THE PROGRAM WITHOUT USING IT.
• GRANT OF LICENSE – CFT CANADA hereby grants to you, and you accept a non-transferable, non-exclusive limited license to use Software and/or Output by one designated user at one designated work station. You must purchase additional licenses from CFT CANADA for additional users and/or locations. You may use the licensed Software on a single computer terminal at a single location. For multi-user and/or multi-computer terminals a license is required for each user and/or computer terminal, having the ability to access the Software and/or Output. You may use the printout that the Software provides for internal company use at your location, and hand carry a printout to customers of your company. No license to use other versions of the Software or other software owned by CFT CANADA (whether or not copyrighted for the same has been obtained) is granted or implied by this agreement, including but not limited to, new or future versions of the Software or extensions beyond the Term of this Agreement.
• CFT CANADA's RIGHTS - You acknowledge the existence of a valid copyright in the Software. You further acknowledge that both the Software and the copyright in the Software are the sole and exclusive property of CFT CANADA. Title to and ownership of both the Software and the copyright therein remain with CFT CANADA. By accepting this license, you do not become the owner of either the Software or the copyright therein, but you do have the right to use the Software in accordance with the terms of this license. You agree to use your best efforts and all reasonable steps to protect the Software from use, reproduction or distribution except as authorized by this license. You agree not to disassemble, decompile or otherwise reverse engineer the Software, or make additional copies thereof. You acknowledge that any unauthorized use of the Software by you beyond the Grant of License as defined herein shall cause damages to CFT CANADA and that the measure of damages shall be difficult to determine. In order to protect the legitimate rights of CFT CANADA you agree that a reasonable measure of liquidated damages shall be $25,000.00 per unauthorized use or access.
• TERM - This license is effective from the moment you use this product and/or its output and any subsequent usage.
• CFT CANADA ASSUMES NO RESPONSIBILITY FOR THE CONSEQUENCES ARISING FROM USE OF THIS PRODUCT AND/OR OUTPUT.
• LIMITED WARRANTY - CFT CANADA warrants for the calendar year in which the Software is licensed that, under normal use, that the program will not prove defective; that the Software program will prove to operate substantially in accordance with what is described. If, during the calendar year, the Software should fail to meet the above warranty, notify CFT CANADA in writing, and CFT CANADA will correct the failure.
• EXCEPT FOR THE LIMITED WARRANTY DESCRIBED ABOVE, THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, PROVIDED WITH THIS SOFTWARE. THESE INCLUDE, BUT ARE NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED.
• LIABILITY - You agree that CFT CANADA 's liability for any damages to you or to any party shall not exceed the cost of the per license fee paid for the Software.
• CFT CANADA WILL NOT BE RESPONSIBLE FOR ANY DIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO, FOR EXAMPLE, LOSS OF PROFITS RESULTING FROM THE USE OF THE SOFTWARE OR ARISING OUT OF ANY BREACH OF THE WARRANTY, EVEN IF BDG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• TERMINATION OF LICENSE - If any of the provisions of this license are broken, CFT CANADA has the right to terminate the license and demand that you stop using Software.
• This agreement constitutes the entire agreement between you and CFT CANADA. The terms of this agreement are severable, and in the event that any one or more terms hereof are declared invalid, the remainder shall survive such declaration. The laws of Quebec, in Canada, shall govern this agreement and performance.
